PHOMI HOLDING hereby declares the following:

1. PHOMI MCM S.R.O., a Czech company, registered at Dlouhá  888/15

České Budějovice, 370 02, was established as a joint venture to explore the Czech market and has not been authorized to grant exclusive distributorships in any markets outside the Czech Republic.

2. All PHOMI-related brands and intellectual property rights belong to PHOMI HOLDING, and PHOMI MCM S.R.O. does not have the power to authorize to any third party.

3. Due to PHOMI MCM S.R.O.'s failure to operate in accordance with its articles of association, PHOMI HOLDING, as the majority shareholder, has initiated the process to withdraw from PHOMI MCM S.R.O. Effective from the date of this announcement, any operations carried out in the name of PHOMI MCM S.R.O. without formal written authorization from PHOMI HOLDING will be considered personal acts of the individuals involved. PHOMI MCM S.R.O., as a company, will bear no responsibility for such actions.
